By accessing, browsing, or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations.

If you do not agree with these Terms, you should discontinue use of the Site.

These Terms apply only to use of the public-facing Site. Separate agreements, policies, notices, consent forms, financial policies, and other terms may apply to medical treatment, patient accounts, payment arrangements, surgery, insurance, the Patient Portal, Direct Scheduling, and other healthcare services.

  1. Website Purpose

The Site is provided primarily for general informational and administrative purposes. It may provide information concerning:

Nothing on the Site should be interpreted as a representation or guarantee regarding the success, safety, appropriateness, or outcome of any medical procedure or treatment.

  1. Patient Portal

The Site provides access to a Patient Portal operated through a third-party healthcare technology provider.

The Patient Portal is a separate application and may be governed by additional terms of use, privacy policies, security practices, and applicable healthcare laws.

Information submitted through the Patient Portal may include medical or other sensitive information and is handled separately from general public-facing Site activity.

Your use of the Patient Portal may therefore be subject to terms and conditions established by the applicable portal provider in addition to policies maintained by the Practice.

The Practice does not control the independent technology, availability, or security practices of third-party portal providers.

  1. Direct Scheduling and Appointment Requests

The Site may provide access to online scheduling or appointment-request functionality operated by the Practice or a third-party scheduling provider.

Submitting an appointment request does not necessarily guarantee that an appointment has been scheduled or accepted.

Appointments are subject to provider availability, medical appropriateness, insurance requirements, referral requirements, scheduling procedures, and confirmation by the Practice or applicable scheduling system.

Users are responsible for reviewing appointment confirmations and contacting the Practice if they are uncertain whether an appointment has been successfully scheduled.

  1. HIPAA and Protected Health Information

The public-facing Site is not intended to serve as a general-purpose platform for transmitting Protected Health Information (“PHI”) or other sensitive clinical information.

Certain designated systems accessible through the Site, such as secure patient intake forms, the Patient Portal, or Direct Scheduling platforms, may be designed to process health information in environments subject to applicable HIPAA requirements.

These secure systems are distinct from the general public-facing Site.

Do not transmit PHI, detailed medical histories, Social Security numbers, insurance information, diagnostic records, or other sensitive information through standard website functions or ordinary email unless specifically instructed to do so through an authorized secure process.

Participation by a physician, facility, or Practice in an insurance network does not guarantee coverage for a particular service or procedure.

Insurance coverage and benefits are determined by the patient’s insurance plan and insurer.

Patients are responsible for confirming coverage, referral requirements, authorization requirements, deductibles, copayments, coinsurance, and other financial obligations directly with their insurance carrier when appropriate.

The Practice maintains a separate Notice of Privacy Practices addressing the use and disclosure of Protected Health Information in connection with treatment, payment, healthcare operations, and other activities regulated by HIPAA.

These Website Terms do not replace, modify, or supersede the Notice of Privacy Practices.

If a conflict exists regarding the handling of PHI, applicable healthcare law and the Notice of Privacy Practices will govern to the extent required by law.

This includes, without limitation, damages arising from reliance upon Site content, website interruptions, third-party services, data loss, unauthorized access, or technical failures.

These limitations apply only to the extent permitted by applicable law and are not intended to limit liability that cannot legally be excluded.

Nothing in these Terms is intended to waive or limit rights or remedies relating to professional healthcare services where such waiver or limitation would be prohibited by law.

  1. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Midlands Orthopaedics and Neurosurgery, P.A., and its officers, owners, providers, employees, agents, contractors, and representatives from claims, liabilities, damages, losses, and reasonable expenses arising from your unlawful use of the Site, your material violation of these Terms, or your infringement of the rights of another person.

This provision does not apply to the extent a claim results from conduct for which indemnification cannot lawfully be required.

  1. Governing Law and Jurisdiction

These Terms and your use of the Site shall be governed by the laws of the State of South Carolina, without regard to conflict-of-law principles, together with applicable federal law.

To the extent permitted by law, any legal action relating specifically to these Terms or use of the Site shall be brought in a court of competent jurisdiction located in South Carolina.

This provision applies to website-related disputes and is not intended to modify rights or procedures applicable to medical malpractice, professional liability, patient care, insurance disputes, or other matters governed by separate laws or agreements.

  1. Severability

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by law or severed as necessary.

The remaining provisions will continue in full force and effect.

  1. No Waiver

Failure by the Practice to enforce any provision of these Terms does not constitute a waiver of that provision or of the Practice’s right to enforce it later.

A waiver of one violation or circumstance does not constitute a waiver of any subsequent violation or circumstance.

  1. Changes to the Site and These Terms

The Practice may modify the Site, its features, services, content, or these Terms from time to time.

When material changes are made to these Terms, the Effective Date or Last Revised date will be updated.

Your continued use of the Site after revised Terms are posted constitutes acceptance of those revised Terms to the extent permitted by applicable law.

We encourage visitors to review these Terms periodically.

  1. Entire Agreement and Relationship to Other Policies

These Terms, together with the Website Privacy Policy and any other policies expressly incorporated by reference, constitute the terms governing use of the public-facing Site.
